1. Agreement
By requesting a quote, booking a consultation, placing an order, or allowing Company personnel to enter your property to carry out work, you (the “Customer”) agree to be bound by these Terms & Conditions. These Terms govern the supply of products and/or services by the Company, including but not limited to manufacturing, supplying, and installing custom stair components, stair recapping, stair refinishing, handrails and spindles, premium posts, flooring, and kitchen cabinetry.
2. Definitions
- Services: All work carried out by the Company, including manufacturing, supply, delivery, installation, finishing, and consultation.
- Products / Materials: Goods supplied by the Company (e.g., treads, risers, nosings, spindles, posts, cabinets, flooring planks).
- Quote / Estimate: A written proposal from the Company describing the Services, Products, price, timeline and any special terms.
3. Quotations, Estimates and Orders
- All quotes are valid for the period stated on the quote (or, if not stated, for 30 days), provided no significant changes in material costs or scope occur.
- A written acceptance or a signed quote, or payment of any deposit required by the Company, constitutes a binding contract.
- Any drawing, sample or specification provided remains the Company’s property and is provided for reference only.
4. Pricing & Taxes
- All prices on quotes and invoices are in Canadian Dollars (CAD) and exclude applicable taxes unless otherwise stated.
- The Company may adjust the price to reflect changes in supply costs, custom changes requested by the Customer, or increases required by law.
5. Deposits & Payment Terms
- A deposit is required to confirm and schedule work. For staircase projects, a 50% deposit is required. For flooring projects, the Customer must pay for materials upfront, and the remaining balance for installation is due upon completion, unless otherwise agreed in writing.
- The balance is payable on completion or on the date(s) specified in the invoice. Payment methods will be stated on the invoice.
- Late payments may incur interest and/or work suspension until payment is made.
6. Scheduling, Access & Delays
- The Company will provide an estimated start and completion date. All dates are estimates only and subject to change due to material lead times, weather, subcontractors, or circumstances beyond the Company’s control.
- The Customer must ensure safe, clear and reasonable access to the property and work areas on scheduled dates. Additional costs may apply if access is restricted or conditions cause a delay.
7. Changes & Variations
- Any change to the scope of works requested by the Customer (a “Variation”) will be documented and may affect price and timetable.
- No Variation will be undertaken until the price and timing have been agreed in writing.
8. Cancellation & Refunds
- The Customer may cancel prior to installation, but any cancellation after the Company has ordered materials, manufactured custom items, or incurred costs will be subject to cancellation charges to cover the Company’s reasonable costs.
- Deposits are generally non-refundable except where required by applicable consumer protection law or otherwise agreed in writing.
9. Materials, Third-Party Goods & Manufacturer Warranties
- Where the Company supplies products from third-party manufacturers (e.g., certain flooring, hardware or fittings), any manufacturer’s warranty is passed through to the Customer to the extent transferable. The Company’s obligations are limited to facilitating claims with those manufacturers where possible.
- The Company warrants workmanship on installation as set out in Section 10.
10. Warranty
- The Company provides a workmanship warranty for its staircase installations. (Standard: 2-year warranty on staircase installation covering workmanship and products installed by the Company.) Manufacturer warranties for supplied goods (flooring, hardware and cabinets) are additional and separate.
- Warranties do not cover damage or defects caused by misuse, neglect, improper maintenance, normal wear and tear, water damage, movement of the building, or modifications by third parties.
- Warranty claims must be notified to the Company in writing promptly upon discovery and in any event within a reasonable time specified in the contract or warranty documentation.
11. Installation & Site Conditions
- The Customer must advise the Company of any known hazards, building issues, concealed services, or special access requirements before work commences.
- The Customer is responsible for obtaining required permissions (e.g., strata/condo approvals) unless the contract states otherwise.
- The Company will take reasonable steps to protect the property during works, but is not responsible for minor scuffs or dust associated with normal renovation activities.
12. Inspection, Completion & Acceptance
- On completion, the Customer will be offered an inspection. Any defects notified at that time will be recorded, and the Company will reasonably remedy them.
- If the Customer does not notify the Company of any issues within 7 days of completion, the work will be deemed accepted.
13. Limitation of Liability
- Except as required by law, the Company’s total liability for breach of contract, negligence or otherwise is limited to the total amount paid by the Customer for the specific project giving rise to the claim.
- The Company is not liable for indirect, incidental, special, punitive or consequential loss, including loss of use, loss of revenue, or loss of enjoyment.
- Nothing in these Terms excludes or limits liability that cannot be lawfully excluded (e.g., for death or personal injury caused by the Company’s negligence).
14. Indemnity
The Customer indemnifies and holds the Company harmless from any claim, loss or damage arising from the Customer’s breach of these Terms, negligent acts, or failure to disclose relevant information.
15. Intellectual Property
All designs, drawings and specifications produced by the Company remain its intellectual property unless otherwise agreed. The Customer may not reproduce or use those designs beyond the scope of the contracted works without permission.
16. Privacy & Data
The Company collects and uses personal information to provide quotes, deliver services, and communicate with Customers. The Company’s handling of personal information is governed by its separate Privacy Policy.
17. Force Majeure
The Company is not liable for any delay or failure to perform caused by events beyond its reasonable control, including but not limited to acts of God, strikes, pandemics, supply chain failure, governmental acts, or severe weather.
18. Consumer Rights
These Terms do not attempt to restrict statutory consumer rights. To the extent there is any inconsistency between these Terms and applicable consumer protection law, that law will prevail.
19. Termination
- The Company may suspend or terminate work if the Customer is in material breach of these Terms (including failure to pay) and does not remedy the breach within a reasonable period after written notice.
- The Customer may terminate where the Company is in material breach and has failed to remedy it after written notice.
20. Dispute Resolution
The parties will attempt to resolve disputes in good faith by negotiation. If unresolved, disputes shall be referred to mediation or arbitration prior to litigation, unless injunctive relief is required.
21. Governing Law & Jurisdiction
These Terms are governed by the laws of Ontario, Canada, and the courts of Ontario have exclusive jurisdiction, except where applicable law requires otherwise.
22. Severability
If any provision of these Terms is unenforceable, it will be severed and the remainder of the Terms will remain in force.
23. Changes to Terms
The Company may update these Terms from time to time. The most current version will be published on the Company website.
